These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User”, “you”, or “your”) and Darsh Advisory Private Limited, a company incorporated under the Companies Act, 2013, having its registered office at Chatterjee International Centre, 13th Floor, Flat-A-7, 33A Chowringhee Road, Kolkata, West Bengal, 700071 (“AltKred”, “Company”, “we”, “our”, or “us”). These Terms govern your access to and use of the AltKred website, web application, digital interfaces, dashboards, and related technology services (collectively referred to as the “Platform”).
By accessing, registering on, or using the Platform in any manner, you confirm that you have read, understood, and agree to be bound by these Terms and any policies incorporated by reference. If you do not agree with these Terms, you must refrain from using the Platform.1. NATURE AND SCOPE OF THE PLATFORM
AltKred operates a digital technology platform designed to facilitate interaction between business entities for the purpose of exploring and entering into invoice discounting or trade receivables financing arrangements within India. The Platform functions solely as a marketplace that enables Users to share information, evaluate opportunities, and communicate electronically in connection with potential financing transactions. AltKred does not itself lend funds, does not purchase invoices, does not provide guarantees, does not act as trustee or custodian of funds, and does not undertake any regulated financial activity unless expressly stated under a separate written agreement. All financing or commercial arrangements are entered into directly between participating Users, and AltKred’s role is limited to providing technological facilitation.
The Platform operates as a private commercial marketplace. Users acknowledge that participation on the Platform is voluntary and undertaken at their own commercial discretion.2. ELIGIBILITY AND REGISTRATION
Access to the Platform is restricted to legally recognised business entities or persons authorised to act on behalf of such entities who are competent to enter into binding contracts under applicable Indian law. Any individual registering or acting on behalf of a business entity represents and warrants that they have been duly authorised to bind that entity to these Terms.
AltKred may require submission of information and documentation during registration, including corporate identification details, tax registrations, authorised signatory information, and other relevant data. You agree to provide accurate, current, and complete information and to promptly update such information if it changes. AltKred reserves the right to approve, reject, suspend, or restrict any registration at its sole discretion, including in cases where information provided is incomplete, inconsistent, or raises compliance concerns.3. USER ACCOUNT RESPONSIBILITIES
Upon successful registration, you may be provided with account credentials to access the Platform. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities conducted through your account. Any action taken using your credentials shall be deemed authorised by you. You agree to notify AltKred promptly if you become aware of any unauthorised access, misuse, or security breach involving your account. AltKred shall not be liable for any loss or damage arising from your failure to safeguard your credentials or from unauthorised use of your account.4. PLATFORM SERVICES
The Platform provides digital tools that may include invoice listing interfaces, bid or offer submission modules, digital communication tools, document exchange mechanisms, transaction tracking dashboards, and reporting features. The availability and functionality of these services may evolve over time. AltKred does not represent that the Platform will be uninterrupted, error-free, or continuously available. Temporary suspension of access may occur due to maintenance, upgrades, technical issues, or other operational reasons.
AltKred does not independently verify the commercial validity, enforceability, or recoverability of invoices listed on the Platform beyond information submitted by Users. The Platform facilitates information exchange but does not validate underlying contractual performance between Sellers and Buyers.5. USER REPRESENTATIONS AND WARRANTIES
By using the Platform, you represent and warrant that all information, data, and documents you provide are accurate, complete, and not misleading. If you upload invoices or receivables, you represent that such invoices relate to genuine commercial transactions and that you are legally entitled to offer them for financing. You further represent that you will comply with applicable laws, including tax, corporate, and commercial regulations, in connection with any transaction facilitated through the Platform.
Users acknowledge that AltKred relies on the accuracy of the information submitted and does not independently audit or verify such information unless required by law or internal policy. Any misrepresentation or submission of false information may result in suspension or termination of access.6. NO ADVISORY OR FIDUCIARY RELATIONSHIP
AltKred does not provide legal, financial, tax, accounting, investment, or regulatory advice. The information made available on the Platform is provided for general facilitation purposes only and should not be construed as advice or recommendation. Users are responsible for conducting their own due diligence and seeking independent professional advice before entering into any transaction.
The relationship between AltKred and Users is strictly that of an independent service provider providing technology access. Nothing in these Terms creates any agency, partnership, joint venture, fiduciary relationship, or employment relationship between AltKred and any User.7. TRANSACTION RISK AND DISCLAIMER
Users acknowledge that invoice discounting and receivables financing transactions involve commercial, credit, legal, and operational risks. AltKred does not guarantee payment performance by any Buyer, repayment by any Seller, or return of funds to any Financier. AltKred is not responsible for disputes between Users arising out of transactions facilitated through the Platform. All contractual obligations are strictly between the relevant Users.
To the fullest extent permitted under applicable law, AltKred disclaims liability for any losses arising from transaction defaults, non-payment, misrepresentation, system interruptions, or delays attributable to third-party service providers or banking systems.8. FEES AND CHARGES
AltKred may charge fees for access to or use of certain Platform services, including onboarding fees, subscription fees, transaction facilitation fees, or other service-based charges. Any applicable fees will be communicated to Users prior to being charged. All fees are exclusive of applicable taxes, including Goods and Services Tax (GST), which shall be payable as required under law. Unless expressly agreed otherwise, fees paid are non-refundable. AltKred reserves the right to modify its fee structure upon reasonable notice.9. DATA PRIVACY AND CONFIDENTIALITY
AltKred may collect, process, and store information provided by Users for the purpose of operating and improving the Platform. Such information may include corporate data, contact details, transaction information, and system usage data. By using the Platform, you consent to the collection and use of your information in accordance with AltKred’s Privacy Policy.
Users agree to treat all non-public information accessed through the Platform as confidential and to use such information solely for the purpose of evaluating or participating in transactions. Users shall not disclose confidential information to unauthorised third parties except as required by law.10. INTELLECTUAL PROPERTY
All rights, title, and interest in and to the Platform, including its software, design, layout, workflow logic, trademarks, branding, and content, are owned by AltKred or its licensors. Users are granted a limited, non-exclusive, revocable right to access and use the Platform solely for its intended purpose. Users shall not copy, reproduce, distribute, modify, reverse engineer, or otherwise exploit any portion of the Platform without prior written consent from AltKred.11. PROHIBITED USE
Users shall not use the Platform for any unlawful, fraudulent, misleading, or abusive purpose. Users shall not attempt to interfere with the proper functioning of the Platform, introduce malicious code, circumvent security features, manipulate bidding processes, or misuse confidential information obtained through the Platform. AltKred reserves the right to investigate suspected misconduct and to suspend or terminate access if misuse is identified.12. LIMITATION OF LIABILITY
To the maximum extent permitted by law, AltKred shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or in connection with the use of the Platform. AltKred’s aggregate liability, whether in contract, tort, or otherwise, shall not exceed the total fees paid by the User to AltKred during the six months preceding the event giving rise to the claim.13. INDEMNITY
You agree to indemnify and hold harmless AltKred, its directors, officers, employees, and affiliates from and against any claims, liabilities, losses, damages, or expenses arising from your breach of these Terms, misuse of the Platform, violation of applicable laws, or disputes arising from transactions entered into by you.14. SUSPENSION AND TERMINATION
AltKred reserves the right to suspend or terminate access to the Platform at any time if a User breaches these Terms, provides inaccurate information, engages in prohibited conduct, or if continued access presents legal or operational risk. Termination shall not affect rights or obligations accrued prior to termination.15. FORCE MAJEURE
AltKred shall not be liable for failure or delay in performance resulting from causes beyond its reasonable control, including natural disasters, acts of government, internet or telecommunications failures, power outages, or cyber incidents.16. GOVERNING LAW AND DISPUTE RESOLUTION
These Terms shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or relating to these Terms shall first be attempted to be resolved amicably. If unresolved, such dispute shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Kolkata, India, and proceedings conducted in English. Courts at Kolkata shall have jurisdiction for matters requiring judicial intervention.17. MODIFICATION OF TERMS
AltKred may revise these Terms from time to time by publishing an updated version on the Platform. Continued use of the Platform after such update constitutes acceptance of the revised Terms.18. SEVERABILITY
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
