TERMS AND CONDITIONS

This Access Agreement (Agreement) is between you (the User) and Darsh Advisory Private Limited. You understand and agree that Darsh Advisory Private Limited maintains this website (Altkred) and related digital platforms (collectively, the Platform or Site) to provide users with information about Altkred, its services, and products. By accessing or using this Site, you acknowledge that you have read, understood, and agreed to be bound by these Terms and Conditions, as amended from time to time. Any continued use of the Site following updates constitutes your acceptance of the modified Agreement.1. SERVICES PROVIDED

1.1 AltKred will provide you with electronic access, through your computer or other electronic device (“Computer”), to its platform and related services (“Services”). These Services include, but are not limited to: enabling the financing, discounting, negotiation, purchase, assignment, or securitization of invoices, bills, bills of exchange, negotiable instruments, securities, and other similar commercial instruments by financiers; facilitating further discounting or re-discounting of such factoring units in the secondary market; sending notifications to relevant parties; generating reports and MIS information; enabling settlement processing; and providing a standardized framework for onboarding buyers, sellers, financiers, or other eligible participants.

AltKred may formulate and implement procedures, criteria, and mechanisms for participant enrolment and participation in financing/discounting activities within or outside India. AltKred may also offer various value-added and information services to Registered Clients.

AltKred retains the sole and absolute discretion to modify, suspend, cancel, or introduce any Service or related registration process at any time through printed or electronic notice. Continued use of the Services after any such changes shall constitute your acceptance and acknowledgment of the revised terms. If you do not agree with this Agreement, you must not access or use the Site or the Services.

1.2 AltKred reserves the right to charge a separate service fee to Registered Clients for use of the Services and for execution of transactions.

1.3 Refund of Service Fees

• acts or omissions of buyers, sellers, financiers, intermediaries, or service providers;
• regulatory/military/governmental restrictions;
• force majeure events;
• incorrect/invalid user data or documentation;
• breach of Agreement by the Registered Client.

2. USER CREDENTIALS

Registered users (Registered Clients) will receive a unique User ID and generate their Password(s) for accessing the Platform.
You are responsible for maintaining the confidentiality of your credentials and any transactions made using them.
Notify Altkred immediately in case of unauthorized access, loss, or compromise of credentials.3. ELECTRONIC RECORDS AND MONITORING

You consent to Altkred electronically recording, monitoring, and storing all activities and communications carried out on the Platform. Such records shall be conclusive evidence of the transactions executed.4. ELECTRONIC COMMUNICATION

Communication through electronic means is not fully secure. Altkred will not accept or process transaction requests via email. All transactional activities must be performed through the Platform.5. PROPERTY RIGHTS & COMPLIANCE

All content, software, and data on the Platform are the intellectual property of Altkred or its licensors.
You agree to use the Platform lawfully and comply with all applicable laws. External links provided are for convenience only.6. WARRANTIES AND LIMITATIONS OF LIABILITY

The Platform and its services are provided as-is without warranties of any kind. Altkred shall not be liable for losses, errors, or interruptions due to system failures, internet issues, or acts of God.7. USER REPRESENTATIONS AND WARRANTIES

You represent that you are of legal age, authorized, and all information provided is accurate.
You are responsible for all transactions executed using your credentials.8. RISK DISCLOSURE

Transactions executed through Altkred involve financial risk. Evaluate the suitability of such transactions based on your financial condition and risk tolerance.9. CONFIDENTIALITY

Altkred takes reasonable measures to protect your confidential information but cannot guarantee absolute security over the internet.
Information may be disclosed as required by law or for legitimate business purposes.10. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of India.11. DISPUTE RESOLUTION

All disputes shall be resolved in accordance with Altkred’s Arbitration and Grievance Redressal Policy.12. JURISDICTION

This Agreement shall be deemed executed in Kolkata, West Bengal. The courts of Kolkata shall have exclusive jurisdiction.13. TERMINATION

Either party may terminate this Agreement with 30 days’ notice. Clauses related to Liability, Confidentiality, and Indemnification shall survive termination14. ASSIGNMENT

You may not assign this Agreement without Altkred’s written consent. Altkred may assign this Agreement to any affiliate, successor, or third party.15. MISCELLANEOUS

This Agreement constitutes the entire understanding between you and Altkred. Any modification will be effective upon publication on the Platform.16. INDEMNIFICATION

You agree to indemnify and hold harmless Altkred, its affiliates, and agents from any claims, damages, or liabilities arising out of your breach or misuse of the Platform.

• breach of Agreement by the Registered Client.
